  1. Le déposant confie irrévocablement à la SRL MJV SOUDANT l’action de proposer à la vente aux enchères moyennant commission les biens dont il déclare être le légitime propriétaire et avoir la totale jouissance ou avoir été mandaté de plein droit par le propriétaire légal. Le déposant garantit la srl MJV SOUDANT contre toute réclamation ou recours qui serait formé par toute personne qui ferait valoir ses droits sur le bien et il remboursera à la salle de vente MJV SOUDANT tous frais, dommages ou pertes subis par lui. Par ailleurs, seul le déposant sera tenu responsable vis-à-vis de l'acheteur des défauts de conformité ou vices cachés du bien mis en vente, à l'exclusion de la salle de vente. Il s’engage à compléter le bordereau de dépôt de façon sincère et exacte et sera seul responsable des inexactitudes commises volontairement ou non. Les authentifications qui accompagnent les oeuvres et émanant d'un ayant-droit, d'un artiste lui-même, d'un héritier, d'un cabinet d'expert faisant autorité sont des documents précieux mais pour lequels la salle de vente MJV SOUDANT n'a une quelconque responsabilité.

  1. La srl MJV SOUDANT décide souverainement de la description du bien et le vendeur autorise sa diffusion photographique à des fins publicitaires avant et après la vente. Elle ne peut en aucun cas être tenue vis-à-vis du déposant d'éventuelles omissions ou erreurs de description. Elle pourra également reporter, en tout ou en partie, des objets à une vente ultérieure ou même retirer définitivement des objets de la vente et ce sans devoir se justifier et sans qu’aucune indemnité lui soit réclamée.

  1. Le vendeur peut en accord avec la salle de vente convenir d’un prix minimum d’adjudication dit prix de réserve pour un ou plusieurs lots. Ce prix garanti au déposant qu’en cas d’adjudication il percevra cette somme déduite des frais applicables même si le commissaire-priseur adjuge en deçà de ce prix.

  1. Le déposant se verra facturer les frais et commissions suivantes : 15% du prix d’adjudication qui seront déduits du montant d’adjudication que la salle de vente MJV SOUDANT versera au vendeur dans les délais prévus au paragraphe 5 et après règlement complet de la part de l’acheteur

  1. Le règlement des lots vendus interviendra dès le 25ème jour calendrier suivant le jour de vente et après règlement complet par l’acheteur. En cas de dette du déposant envers la salle de vente MJV SOUDANT, celle-ci se rembourse automatiquement sur les montants perçus au bénéfice du déposant et ne lui verse que le solde éventuel. Les règlements se feront soit par virement bancaire sur le compte bancaire communiqué par le client sur le bordereau de dépôt ou par écrit en annexe, soit en espèces pour les montants inférieurs à 3000 euros. En aucun cas la SRL MJV SOUDANT ne peut être tenue responsable du non-paiement par l’acheteur; en pareil cas, le vendeur pourra, au plus tôt 60 jours après la vente se faire restituer les objets non enlevés et non payés par l’acheteur, sous sa seule responsabilité et contre présentation du bordereau et ce sans pouvoir prétendre à une quelconque indemnité. La salle de vente renonce alors à sa commission. En outre la SRL MJV SOUDANT pourra exercer les actions judiciaires nécessaires à l’encontre de l’acheteur défaillant, sur instruction, pour le compte et aux frais du vendeur et à condition d’avoir été suffisamment provisionné par ce dernier au préalable.

  1. Le vendeur s’interdit de vouloir récupérer les objets enregistrés pour la vente et d’enchérir lui-même ou par personne interposée, sur ses propres objets. Le vendeur restera propriétaire des objets jusqu’au moment de l’adjudication où leur propriété sera directement et immédiatement transférée à l’acquéreur. Le déposant pourra choisir de récupérer les lots invendus au plus tard dans les 10 jours calendrier suivant la vente après s’être acquitté des frais fixes et d’assurances ou il pourra choisir de faire repasser les invendus dans une vente ultérieure après une diminution du prix de réserve approuvée par la salle de vente. A défaut d’action décidée par le déposant dans le chef des invendus dans le délai prévu, une indemnité de garde de 5€ sera facturée par lot et par jour de retard. En outre passé le délai de 10 jours suivant la vente, les biens ne seront plus couverts par l’assurance tout risque et seront stockés aux risques et périls du déposant.Passé un délai de trois mois à compter de la vente, la SRL MJV SOUDANT se réserve le droit de céder les lots sans prix de réserve aux plus offrants afin de couvrir les frais occasionnés.

  1. Des circonstances telles que la guerre, un attentat, une révolte, les tremblements de terre, les inondations, les incendies, sont considérées comme des cas de force majeure lorsqu’elles ont pour effet de rendre impossible l’exécution du contrat; la srl MJV SOUDANT n’a pas à établir l’imprévisibilité et l’irrésistibilité de l’évènement. La srl MJV SOUDANT informe le vendeur dans les meilleurs délais de la survenance d’une circonstance constitutive de force majeure. La survenance d’un cas de force majeure donne le droit à la srl MJV SOUDANT de suspendre l’exécution du contrat ou de résilier totalement ou partiellement celui-ci sans aucune obligation d’indemnisation.

  1. La SRL MJV SOUDANT assume la garde des objets à partir de leur remise matérielle en ses locaux. La prise en charge à domicile est offerte à l’exclusion des frais de lift ou de réservation de place de parking éventuelle. En cas de sinistre pris en charge dans le cadre de l’assurance tout risque, le vendeur ne pourra réclamer à la SRL MJV SOUDANT, à supposer que sa responsabilité soit en cause, que le coût des réparations et, en cas de disparition totale, une indemnité ne pouvant en aucun cas dépasser l’estimation minimum reprise dans le bordereau. En aucun cas la SRL MJV SOUDANT ne sera redevable d’un montant supérieur à celui que sa compagnie d’assurances lui payera effectivement. La SRL MJV SOUDANT n’assume en aucun cas de responsabilité pour les dommages aux encadrements et aux vitres.

  1. Le contrat entre les parties est soumis à la législation Belge. Tous litiges auxquels le présent contrat pourrait donner lieu seront soumis exclusivement à la compétence des tribunaux de Charleroi ou du Juge de Paix du canton de ce lieu et en langue française. Lorsque la srl MJV SOUDANT est demanderesse, celle-ci se réserve le droit d’intenter son action devant d’autres tribunaux. Ces conditions générales font partie intégrante du contrat conclu avec le vendeur. Par la mention « lu et approuvé » et sa signature au recto, le déposant déclare avoir pris connaissance et accepter sans réserve les conditions générales ci-dessus même si elles sont en contradiction avec ses propres conditions générales ou particulières.

GENERAL CONDITIONS RELATING TO THE BUYER

MJV SOUDANT subscribes to the TEMIS Service allowing the consultation and supply of the Auction Access Restrictions File (“TEMIS File”) implemented by the company Commissaires-Auctioneers Multimedia (CPM), a public limited company with a management board, having its registered office at (75009) Paris, 37 rue de Châteaudun, registered in the Paris Trade and Companies Register under number 437 868 425.

Any auction slip that has remained unpaid with MJV SOUDANT or that has been the subject of late payment is subject to registration in the TEMIS file.

  1. Purpose and legal basis of the TEMIS File

The TEMIS file lists the incidents of payment of the auction slips (delays and non-payments), whatever the mode of participation of the bidders (face-to-face or remotely) and can be consulted by all the structures of auction sales subscribed to the service. The bidder is informed that in the absence of regularization of his auction slip within the period mentioned on the slip, a registration procedure for the said file may be initiated by MJV SOUDANT The implementation of the TEMIS File and its use by MJV WELDING is necessary for the purposes of the legitimate interest of subscribers to the TEMIS Service to prevent unpaid bills and thus secure auctions.

  1. Organizations authorized to consult the TEMIS File (recipients)

  1. Registration duration

Bidders are informed of the fact that the duration of the registration on the TEMIS File is determined by the number of auction slips that have remained unpaid with Professionals Subscribers to the TEMIS File, by their cumulative amounts and by their regularization or not. The duration of the registration in the TEMIS File is reduced if the Bidder regularizes all the Payment Incidents. It is increased when the bidder is concerned by several unpaid slips registered in the TEMIS File. The registration of an auction slip in default of payment is automatically deleted at the end of a maximum period of 24 months when the bidder is the subject of only one registration, and 36 months when the bidder is the subject of several registrations.

6. Resale Right

During the sale of certain original works, a resale right is due to the author or his heirs, provided that the author has not been deceased for more than 70 years.

This resale right is calculated on the sale price excluding taxes, provided that this amounts to a minimum of €2,000 and amounts to 4% for the portion of the sale price up to €50,000, 3% up to at €200,000, 1% up to €350,000, 0.5% up to €500,000 and 0.25% beyond, without the resale right being able to exceed €12,500 per work of art and per resale.

Our auction house will not be responsible for shipping your purchase.

 10. The contract between the parties is subject to Belgian law. Any disputes to which this contract may give rise will be submitted exclusively to the jurisdiction of the courts of Charleroi or the Justice of the Peace of the canton of this place and in French.
